What actions can SpeedLine take if Beggars Pizza's account becomes delinquent?

n or assignment for the benefit of creditors and in the case of any such involuntary proceeding it remains undismissed thirty (30) days after filing. Upon expiry or termination of this Agreement and/or any License, SpeedLine will be released of any obligations hereunder without liability to or recourse by the Customer in respect of the expired or terminated Installed Software and/or Online Services, and SpeedLine may do any one or more of the following:
- (a) Declare all amounts owing to SpeedLine to be immediately due and payable, either in their entirety in the case of expiration or termination of this Agreement in its entirety (including all Licenses,) or for the particular License.
- (b) Require the Customer to immediately discontinue use of the expired or terminated Installed Software or Online Services, and immediately return the applicable software key(s) to SpeedLine and destroy or return the applicable Installed Software and all copies of the Installed Software and all of its component parts to SpeedLine.
- (c) Withdraw the Software access codes making the applicable Installed Software or Online Services unusable, in which event, SpeedLine will not be liable for any claim of business interruption or loss of profits or data or any other claims, losses or damages of any kind that may arise as a result.
SUSPENSION OF ONLINE SERVICES: In addition to other applicable remedies, SpeedLine may suspend Customer's access to the Online Services (or any part thereof) upon 5 business days' email notice if Customer's account becomes delinquent (falls into arrears) or Customer materially breaches this Agreement and such breach has not been cured within such 5 days' period, in lieu of termination of this Agreement (but without limiting SpeedLine's right to terminate this Agreement at any time after such suspension).

According to Beggars Pizza's 2025 Franchise Disclosure Document, SpeedLine has several options if a customer's account becomes delinquent. SpeedLine may declare all amounts owed to be immediately due and payable. This can include the entire amount if the agreement has expired or been terminated. SpeedLine can also demand that the customer immediately stop using the software or online services, return all software keys, and destroy or return the installed software and all copies.
Additionally, SpeedLine can withdraw software access codes, which would make the software or online services unusable. In such cases, SpeedLine will not be held liable for any business interruption, loss of profits or data, or any other damages that may arise. SpeedLine may also suspend the customer's access to online services with a 5-business day email notice if the account is delinquent or if the customer materially breaches the agreement and fails to correct it within the 5-day period. This suspension is an alternative to terminating the agreement but does not prevent SpeedLine from terminating the agreement later.
Furthermore, any amount not paid when due will accrue interest at a rate of 1.5% per month (18% per year) or the maximum legal rate, whichever is lower, until it is paid. SpeedLine also reserves the right to suspend or terminate the customer's access to the service, terminate the agreement, or withhold customer support and professional services, with 5 days' email notice if the account becomes delinquent. These measures provide SpeedLine with significant recourse in the event of non-payment, protecting their financial interests and ensuring compliance with the agreement.
