Answer from 2025 FDD Document

We are a franchisee of Beem Franchisor LLC ("Franchisor") under a Franchise Agreement dated [DATE] (the "Franchise Agreement"), pursuant to which Franchisor granted us the right to operate a franchised business (the "Studio") under the "beem® Light Sauna" name (the "Brand"). We have a license to use the Brand and certain other trademarks designated by Franchisor (collectively, the "Marks"), certain policies and procedures used in the operation of the Studios (the "System"), and the confidential information developed and owned by Franchisor and its affiliates in our Studio. Franchisor recognizes that, in order for us to effectively operate our business, our employees and independent contractors whom we retain must have access to certain confidential information and trade secrets owned by Franchisor. Disclosure of this confidential information and trade secrets to unauthorized persons, or its use for any purpose other than the operation of our Studio, would harm Franchisor, other franchise owners, and us. Accordingly, Franchisor requires us to have you sign this Agreement.

What This Means (2025 FDD)

According to Beem Light Sauna's 2025 Franchise Disclosure Document, a franchisee must obtain confidentiality agreements from their employees and independent contractors if those individuals will have access to the franchisor's confidential information and trade secrets. This requirement is in place to protect Beem Light Sauna's proprietary information.

For a prospective Beem Light Sauna franchisee, this means that as part of operating their studio, they will need to ensure that all personnel who have access to sensitive business information sign a confidentiality agreement. This includes not only employees but also any independent contractors the franchisee might hire for specific tasks. The agreement aims to prevent unauthorized disclosure or use of confidential information, which could harm the franchisor, other franchisees, and the franchisee's own business.

The FDD emphasizes that the disclosure of confidential information or trade secrets to unauthorized individuals, or using it for purposes outside of operating the Beem Light Sauna studio, would be detrimental to the franchisor, other franchise owners, and the franchisee themselves. Therefore, franchisees must take this requirement seriously and implement procedures to ensure compliance. This may involve consulting with legal counsel to develop appropriate confidentiality agreements and training personnel on the importance of protecting confidential information.

This requirement is a standard practice in franchising, particularly when the franchise system relies on proprietary information and trade secrets to maintain a competitive advantage. By mandating confidentiality agreements, Beem Light Sauna aims to safeguard its business model and protect the interests of all franchisees within the system.
