ADDITIONAL DISCLOSURES FOR THE FRANCHISE DISCLOSURE DOCUMENT OF BEEM FRANCHISOR LLC
The following are additional disclosures for the Franchise Disclosure Document of Beem Franchisor LLC required by various state franchise laws. Each provision of these additional disclosures will only apply to you if the applicable state franchise registration and disclosure law applies to you.
CALIFORNIA, HAWAII, ILLINOIS, INDIANA, MARYLAND, MICHIGAN, MINNESOTA, NEW YORK, NORTH DAKOTA, RHODE ISLAND, SOUTH DAKOTA, VIRGINIA, WASHINGTON, AND WISCONSIN
The following provision applies only to franchisees and franchised Studios that are subject to the state franchise disclosure laws in California, Hawaii, Illinois, Indiana, Maryland, Michigan, Minnesota, New York, North Dakota, Rhode Island, South Dakota, Virginia, Washington, and/or Wisconsin:
No statement, questionnaire, or acknowledgement signed or agreed to by you in connection with the commencement of the franchise relationship shall have the effect of (i) waiving any claims under any applicable state franchise law, including fraud in the inducement, or (ii) disclaiming reliance on any statement made by us, any franchise seller, or any other person acting on behalf of us. This provision supersedes any other term of any document executed in connection with the franchise.

What This Means (2025 FDD)
According to the 2025 Beem Light Sauna Franchise Disclosure Document, state-required disclosures and riders are included as Exhibit I. Specifically, the document mentions that additional disclosures apply to franchisees and franchised studios subject to state franchise disclosure laws in California, Hawaii, Illinois, Indiana, Maryland, Michigan, Minnesota, New York, North Dakota, Rhode Island, South Dakota, Virginia, Washington, and Wisconsin.
The FDD includes a Rider to the Beem Franchisor LLC Development Agreement for use in the State of New York. This rider is signed concurrently with the Development Agreement if the franchisee is domiciled in New York or if any offering or sales activity related to the Development Agreement occurred in New York.
Additionally, there is a Rider to the Beem Franchisor LLC Development Agreement for use in the State of Illinois. This rider is annexed to and forms part of the Development Agreement and is signed concurrently with it if any offering or sales activity relating to the Development Agreement occurred in Illinois and the studios will be located in Illinois, or if the franchisee is domiciled in Illinois. For Washington, the FDD states, '(See State-Specific Riders to the Franchise Agreement.)'
