What This Means (2025 FDD)

According to the 2025 Beem Light Sauna FDD, a developer's ability to maintain their development rights hinges on fulfilling the obligations outlined in the Development Agreement. Beem Light Sauna and the developer will agree on a Development Schedule, specifying the number of studios to be developed and the deadlines for each. This schedule is documented within the Development Agreement itself. Each proposed site must also be acceptable to Beem Light Sauna. Failure to meet these development obligations can result in the termination of the Development Agreement by Beem Light Sauna.

If a developer fails to meet their obligations under the Development Agreement, Beem Light Sauna has the option to modify the Development Area or the Development Schedule. This modification, enacted through written notice, could decrease the number of studios the developer is required to build. Should Beem Light Sauna reduce the Development Area or Schedule due to a default, the developer will not receive a refund for any portion of the Development Fee.

It is important to note that continuation of territorial rights does not depend on sales volume, market penetration or other similar factors. Beem Light Sauna also does not have the right to alter the Development Area during the term of the Development Agreement. A prospective Beem Light Sauna developer should carefully review the Development Agreement and Development Schedule to fully understand their obligations and the potential consequences of failing to meet them.
