- 9.4 Changes to the Intellectual Property.
We have the right, upon reasonable notice, to change, discontinue, or substitute for any of the Intellectual Property and to adopt entirely different or new Intellectual Property for use with the System without any liability to you, in our sole discretion.
You agree to implement any such change at your own expense within the time we reasonably specify.

What This Means (2025 FDD)
According to Beem Light Sauna's 2025 Franchise Disclosure Document, Beem Light Sauna has the right to change the Intellectual Property used in its system. Specifically, Beem Light Sauna can change, discontinue, or substitute any of its Intellectual Property, and adopt entirely new Intellectual Property for use within the system. This can be done without incurring any liability to the franchisee, and Beem Light Sauna has sole discretion over these changes.
As a Beem Light Sauna franchisee, you are obligated to implement any changes to the Intellectual Property at your own expense, and within a timeframe that Beem Light Sauna reasonably specifies. The Intellectual Property includes the Marks, Trade Dress, Copyrights, and any trade secrets, methods, or procedures that are part of the Beem Light Sauna system.
Furthermore, franchisees are prohibited from contesting Beem Light Sauna's rights to the Intellectual Property, including their ownership, title, and right to use or license it. Franchisees must also promptly notify Beem Light Sauna of any unauthorized use of the Intellectual Property or any challenges to its validity or ownership. Beem Light Sauna retains the right to control any litigation related to the Intellectual Property and is entitled to all proceeds from such actions.
Upon termination or expiration of the franchise agreement, all rights to use the Intellectual Property automatically revert back to Beem Light Sauna without any cost. Franchisees are required to execute any documents necessary to confirm this reversion. This clause ensures Beem Light Sauna maintains control and can evolve its brand and operational methods as needed, while franchisees must adapt to these changes at their own cost.
