What This Means (2025 FDD)

According to Beehive Homes' 2025 Franchise Disclosure Document, the Guarantor waives several rights and defenses related to actions against the Franchisee. Specifically, the Guarantor waives any right to require that Beehive Homes first bring an action against the Franchisee or any other person before pursuing the Guarantor. This means Beehive Homes can seek recourse directly from the Guarantor without initially targeting the Franchisee.

Additionally, the Guarantor gives up all rights to payments and claims for reimbursement or subrogation against the Franchisee that arise from the Guarantor's obligations under the Guaranty. The Guarantor also waives any legal requirement that Beehive Homes demand payment from, assert claims against, or collect from the Franchisee, or take any other action against the Franchisee before pursuing the Guarantor. This provision allows Beehive Homes to proceed directly against the Guarantor without exhausting other remedies.

Furthermore, the Guarantor relinquishes any claim that a release or discharge of the Franchisee under the Franchise Agreement would also release or discharge the Guarantors. Finally, the Guarantor waives any and all other notices and legal or equitable defenses they might otherwise be entitled to. These waivers are comprehensive, significantly limiting the Guarantor's ability to contest liability or delay payment under the Guaranty.

In practical terms, these waivers mean that if the Franchisee defaults on their obligations to Beehive Homes, the Guarantor's assets are at risk and Beehive Homes can pursue the Guarantor directly and immediately. Prospective franchisees should ensure their guarantors fully understand these waivers and the associated financial risks.
