What are the potential consequences if a Beehive Homes franchisee fails to meet the building specifications outlined in Item 8, considering the franchisor's assistance obligations in Item 11?

Beehive_Homes Franchise · 2025 FDD

Answer from 2025 FDD Document

YOU will be required to build YOUR Bee Hive Home in accordance with architectural and design specifications provided by US. These specifications will be determined generally by the trade dress and uniformity standards of the franchise and specifically by the unique location chosen by YOU. These specifications will be provided to YOU after YOU sign the Franchise Agreement.

YOU have no obligation to purchase or lease goods, services, supplies, fixtures, equipment, inventory, computer hardware and software, real estate, or comparable items related to establishing or operating the franchised business either from US, OUR designee, or suppliers approved by US.

For certain items of furniture, fixtures and equipment, and supplies and materials, WE may provide you with specifications which may include minimum standards for performance, warranties, design, appearance and other restrictions. YOU may purchase items which meet specifications from any source. Specifications are provided to YOU after signing the Franchise Agreement and are found in OUR Owner/Operator Training Outline. WE currently do not

maintain a list of approved suppliers and do not maintain criteria for approving suppliers of the items listed in this paragraph. Any supplier which is able to provide these items meeting OUR specifications is, in effect, an approved supplier. YOU may determine which suppliers meet OUR specifications without OUR prior approval. However, any determination by YOU is subject to OUR review.

What This Means (2025 FDD)

According to Beehive Homes' 2025 Franchise Disclosure Document, franchisees are required to build their Beehive Homes in accordance with the architectural and design specifications provided by the franchisor. These specifications are determined by the trade dress and uniformity standards of the franchise and the location chosen by the franchisee. The franchisor provides general architectural and design drawings for the home, and the franchisee is responsible for engaging an architect and engineer to prepare the final specifications and drawings. These final plans must be approved in writing by Beehive Homes for compliance with "trade dress" guidelines prior to submission for building permits.

While the FDD excerpts do not explicitly state the consequences of failing to meet building specifications, it emphasizes the franchisee's obligation to comply with the franchisor's standards. The franchisee must construct, equip, and own the Home at their own expense and operate it in compliance with the agreement and standards. Beehive Homes provides assistance and guidance in negotiating construction contracts but is not liable for these agreements. The franchisee also covenants to comply with all applicable laws and regulations affecting the operation of the franchise.

Given these points, failure to meet building specifications could lead to delays in construction, failure to obtain necessary permits, and potential disapproval of the final plans by Beehive Homes. Ultimately, this could result in the franchisee being unable to open and operate the Beehive Homes franchise, potentially leading to a breach of the franchise agreement. Prospective franchisees should seek clarification from Beehive Homes regarding the specific consequences of failing to meet building specifications and the process for resolving any disputes related to compliance.
