What This Means (2025 FDD)
According to Beehive Homes' 2025 Franchise Disclosure Document, the parties involved in the Guaranty irrevocably accept the jurisdiction of specific courts within the State of Utah for any disputes related to the Guaranty. This means that any legal proceedings concerning the Guaranty must be initiated and resolved in these designated courts.
Specifically, the parties consent to the jurisdiction of the courts of the State of Utah, in the County of Salt Lake, or the United States District Court for the District of Utah. They also agree to venue in Salt Lake County, Utah. Furthermore, the document clarifies that any legal process or notice can be served outside the State of Utah via certified mail or personal service, provided that a reasonable timeframe for appearance is given.
This clause is important for prospective Beehive Homes franchisees as it dictates where they may have to engage in legal proceedings if a dispute arises under the Guaranty. It ensures that both the franchisee and Beehive Homes have agreed in advance to a specific legal venue, which can streamline dispute resolution. However, franchisees outside of Utah should be aware that they may need to travel to Utah to address legal matters related to the Guaranty.
