What happens if Beef O Bradys does not approve a proposed Site submitted by the franchisee?

If we notify you that we will not approve that proposed Site, you must, within the next 30 days of our notice rejecting that proposed Site (but prior to the expiration of the Site Selection Period), identify and submit to us an alternative proposed Site, for our review and approval within the Site Selection Area(s).
A Site must meet our then-current criteria for demographic characteristics, traffic patterns, parking, character of neighborhood, suitability for a Family Sports Pub, competition from and proximity to other businesses and other Family Sports Pubs, the nature of other businesses in proximity to the Site and other commercial characteristics, and the size, appearance and other physical characteristics of the proposed Site.
- (c) Site Approval: We are not obligated to evaluate or approve any proposed Site submitted to us for approval after the expiration of the Site Selection Period or outside the Site Selection Area(s).
If
we do not approve a Site during the deadlines provided in this Article 4, we will not be obligated to permit you to submit an alternative proposed Site to us. Our approval of a Site indicates only that it falls within the acceptable criteria we have established as of the time of our approval.
- (d) Protected Territory: Upon our approval of the Site and lease for the Site, we will designate the "Protected Territory" which will consist of the geographic area within a 3-mile radius of the front door of the Site.

What This Means (2025 FDD)
According to the 2025 Beef O Bradys FDD, if Beef O Bradys does not approve a franchisee's initial proposed site, the franchisee has 30 days from the date of rejection to identify and submit an alternative proposed site within the designated Site Selection Area for review and approval. This alternative site must also meet Beef O Bradys' criteria for demographic characteristics, traffic patterns, parking, neighborhood character, suitability for a Family Sports Pub, competition, proximity to other businesses, and the physical characteristics of the site.
Beef O Bradys is not obligated to evaluate or approve any proposed site submitted after the Site Selection Period expires or if the site is outside the Site Selection Area. If Beef O Bradys does not approve a site within the specified deadlines, they are not obligated to allow the franchisee to submit another proposed site.
Site approval from Beef O Bradys indicates only that the site meets the company's criteria at the time of approval. The franchisee is responsible for ensuring the site's suitability and potential profitability. Once a site and lease are approved, Beef O Bradys will designate a Protected Territory, which extends three miles from the front door of the site, and this information will be added to Exhibit A of the franchise agreement.
