Your right to acquire a Successor Franchise is subject to your continued compliance with all of the terms and conditions of this Agreement through the date of its expiration, in addition to your compliance with the obligations described in the Response Notice.
- (c) Deficiencies: If our Response Notice states that you must cure certain deficiencies of the Family Sports Pub or its operation as a condition to the grant of a Successor Franchise, we will give you written notice of a decision not to grant a Successor Franchise unless you cure such deficiencies, not less than 90 days prior to the expiration of this Agreement.
However, we will not be required to give you such notice if we decide not to grant you a Successor Franchise due to your breach of this Agreement during the 90 day period prior to its expiration.
If we fail to give you: (i) notice of deficiencies in the Family Sports Pub, or in your operation of the Family Sports Pub, within 90 days after we receive your timely election to acquire a Successor Franchise; or (ii) notice of our decision not to grant a Successor Franchise at least 90 days prior to the expiration of this Agreement, if such notice is required; we may extend the term of this Agreement for such period of time as is necessary in order to provide you with either reasonable time to correct deficiencies or 90 days notice of our refusal to grant a Successor Franchise.

What This Means (2025 FDD)
According to the 2025 Beef O Bradys FDD, a franchisee's right to acquire a Successor Franchise is contingent upon their continued adherence to all terms and conditions of the existing Franchise Agreement up to its expiration date. Additionally, the franchisee must fulfill the obligations outlined in the Response Notice provided by Beef O Bradys. This notice communicates Beef O Bradys' decision regarding the grant of a Successor Franchise.
If the Response Notice indicates deficiencies in the Family Sports Pub or its operation, the franchisee must rectify these issues as a prerequisite for obtaining a Successor Franchise. Beef O Bradys will provide written notification of a decision to deny a Successor Franchise if the deficiencies are not corrected, giving the franchisee at least 90 days' notice before the current agreement expires. However, this 90-day notice is not required if the franchisee breaches the agreement within that 90-day period.
Furthermore, if the franchisee meets all other requirements for a Successor Franchise, both the franchisee and their Owners must execute the standard franchise agreement and any related documents then in use for granting Successor Franchises, as well as general releases of claims against Beef O Bradys. Failure to sign and deliver these documents within 60 days of receipt will be considered an election not to acquire a Successor Franchise. These conditions ensure that Beef O Bradys maintains standards and protects its interests when renewing franchise agreements.
