What This Means (2025 FDD)
According to Beef O Bradys's 2025 Franchise Disclosure Document, a franchisee's use, possession, and enjoyment of the premises will not be interfered with by any lender of the landlord or any other person as long as the lease term continues and the tenant (franchisee) is not in default under the lease. This provision ensures that as long as the franchisee adheres to the terms of their lease agreement, they can operate their Beef O Bradys location without undue disruption from the landlord's financial obligations or other external parties.
This "non-disturbance" clause is a significant protection for the franchisee. It prevents the franchisee from potentially losing their location due to the landlord's financial issues, such as foreclosure. Without this clause, a change in landlord or lender could jeopardize the franchisee's business operations, even if the franchisee is current on their rent and fulfilling all other lease obligations. This clause provides stability and security for the franchisee's investment in their Beef O Bradys restaurant.
Furthermore, the FDD states that any default under the lease which is not cured by the tenant within any applicable cure period also constitutes grounds for termination of the Franchise Agreement. This means that maintaining good standing with the lease is not only crucial for the franchisee's quiet enjoyment of the premises but also for maintaining their franchise rights with Beef O Bradys. Therefore, franchisees must diligently adhere to all lease terms and conditions to avoid jeopardizing both their lease and franchise agreements.
