Pursuant to an Equity Purchase Agreement entered into on June 28, 2017, the equity interests in and ownership of Holdco and its subsidiaries (including us and our affiliate Brass Tap Franchisor, LLC) were transferred to holding companies controlled by CapitalSpring (collectively, "CapitalSpring"), a private investment firm whose principal business address is 3100 West End Ave Suite 940, Nashville, TN 37203. Accordingly, as of June 28, 2017, CapitalSpring is our ultimate parent company. CapitalSpring does not sell franchises in this or any other lines of business, nor has it ever operated a Family Sports Pub.
