TERM DEFINITION
Indemnified Us, our affiliates our respective shareholders, directors, officers, employees,

Section 18.4 harmless from and against all claims, obligations and damages.

Notwithstanding the terms of Section 12.4 of the Area Development Agreement ("Indemnification"), Franchisee will not be required to indemnify Franchisor and the other Indemnitees for any liability caused by Franchisee's proper reliance on or use of procedures or materials provided by Franchisor or caused by Franchisor's negligence.
