What is the relationship between the 'Operating Territory' and the 'Franchised Business' for a Bee Organized franchise?

"Franchised Business" means the Bee Organized Business that Franchisee shall develop and is required to establish, maintain and operate as part of the System and in accordance with the terms, conditions and obligations set forth in this Agreement and the Operations Manual. Without limitation to the foregoing, the Franchised Business shall be exclusively established, maintained, owned and operated by Franchisee within Franchisee's designated Operating Territory and in accordance with the terms of this Agreement. Shall have the same meaning as Franchisee's Bee Organized Business.

"Franchisee's Bee Organized Business" means the Bee Organized Business that Franchisee shall operate within the Operating Territory pursuant to the terms, conditions and obligations set forth in this Agreement. Shall have the same meaning as Franchised Business.

  • (1) During the Term of this Agreement and subject to the rights of Franchisor including, but not limited to, the Reserved Rights, Franchisor grants to Franchisee and Franchisee accepts, the non-exclusive license, right and obligation to develop and operate a Bee Organized Business within the operating territory designated and set forth in Schedule 1 of this Agreement (the "Operating Territory"). If Schedule 1 does not specifically identify and designate an Operating Territory, and/or if Schedule 1 is not signed by Franchisor, the Operating Territory shall be determined by Franchisor in Franchisor's Reasonable Business Judgment;

  • (2) The Operating Territory shall be comprised of a Territory and if, at the time of signing this Agreement, Franchisor and Franchisee agree to supplement the size of Franchisee's Operating Territory by adding an Additional Territory or Additional Territories, the Additional Territory or Additional Territories shall be included within the Operating Territory identified in Schedule 1 and shall be quantified in Schedule 2 for purposes of calculating the Initial Franchise Fee and other obligations under this Agreement;

  • (3) Franchisee's Administrative Office must be located within the Operating Territory and be approved by Franchisor;

  • (4) Franchisee may only operate the Franchised Business within Franchisee's Operating Territory and, without limitation to the foregoing, Franchisee may only offer and sell the Approved Services and Products within Franchisee's Operating Territory from Franchisor designated and authorized Vehicles, the System standards designated by Franchisor, and in accordance with the requirements designated by Franchisor in the Operations Manual;

  • (5) Except as otherwise provided in this Agreement including, but not limited to, the Reserved Rights Closed Markets, and Multi-Service Events Designated and approved by Franchisor and subject to Franchisor's System standards and requirements which Franchisor may amend, modify, and/or suspend in Franchisor's Reasonable Business Judgment, provided that, at all times, Franchisee is and remains in

  • (1) Franchisee must conduct the operations of the Franchised Business from within Franchisee's Operating Territory and Franchisee must provide the Approved Services and Products on behalf of clients located within Franchisee's Operating Territory. The marketing of the Franchised Business must be targeted to Franchisee's Operating Territory and, at all times, must conform and comply with, among other things, the restrictions set forth in Article 9.G. of this Agreement;

  • (2) Provided that Franchisee: (i) does not engage in any Direct Solicitation of clients or potential clients outside of Franchisee's Operating Territory or, within the Operating Territory of another Bee Organized Business, (ii) Franchisee does not otherwise violate the restrictions set forth in Article 9 of this Agreement, and (iii) unless otherwise directed by Franchisor at any time, from time to time, and in Franchisor's sole direction, Franchisee may provide Approved Services and Products to a client in an Open Area surrounding Franchisee's Operating Territory. Upon written notice from Franchisor for any reason or no reason at all, Franchisee must discontinue from providing Approved Services and Products in an Open Area; and

What This Means (2025 FDD)

According to Bee Organized's 2025 Franchise Disclosure Document, the 'Franchised Business' must be exclusively established, maintained, owned, and operated by the franchisee within their designated 'Operating Territory.' The 'Franchised Business' and 'Franchisee's Bee Organized Business' have the same meaning, referring to the Bee Organized business that the franchisee operates within the 'Operating Territory' under the terms of the Franchise Agreement.

The franchisee is granted a non-exclusive license to develop and operate a Bee Organized business within the 'Operating Territory' designated in Schedule 1 of the agreement. If Schedule 1 does not specify the 'Operating Territory', Bee Organized will determine it. The 'Operating Territory' includes an initial territory, and can be supplemented with additional territories as agreed upon by both parties, which are then quantified in Schedule 2 for calculating the initial franchise fee and other obligations.

The franchisee's administrative office must be located within the 'Operating Territory' and approved by Bee Organized. The franchisee can only operate the 'Franchised Business' and offer approved services and products within their 'Operating Territory', using designated vehicles and following System standards outlined in the Operations Manual.

Bee Organized will not operate or grant another franchise within the franchisee's 'Operating Territory', provided that the 'Operating Territory' has been designated and approved and the franchisee complies with the agreement. The franchisee must conduct operations and provide services to clients located within their 'Operating Territory', targeting marketing efforts accordingly. While franchisees can provide services in open areas surrounding their territory without direct solicitation, Bee Organized can require them to discontinue such services with written notice.
