ITEM 12 TERRITORY
Your Location
Under the Franchise Agreement, we will grant to you the right to develop and operate one Bee Organized Business within a designated operating territory (your "Operating Territory").
Grant of Territory
The scope of your Operating Territory will vary from the scope and size of the operating territories of other franchisees in our System depending on local factors, market conditions, and the number of Territories that you purchase at the time of signing your Franchise Agreement. A Territory, generally, will consist of a geographic area that includes approximately 40,000 to 50,000 Qualified Households. Subject to availability, our approval, and payment of additional Initial Franchise Fees identified in Item 5 of this Disclosure Document, you may add Additional Territories. Each Additional Territory will consist of a geographic area that includes approximately 40,000 to 50,000 Qualified Households. The number of Qualified Households within an Operating Territory is determined in the aggregate and will be calculated based on raw data. Your Minimum Monthly Royalty Fee Requirement and local marketing expenditure will increase if you add Additional Territories.
Relocation
Your right to relocate your Bee Organized Business and, thereby, your Operating Territory is not guaranteed and approval of a relocation request by you is completely at our discretion. We evaluate relocation requests on a caseby-case basis and consider factors such as operational history, the location of your Operating Territory, our expansion plans, and other factors that, at the time of a relocation request, are relevant to us.
Establishment of Additional Franchised Businesses
You do not have the right to establish additional Bee Organized Businesses.
Options and Rights of First Refusal to Acquire Additional Franchises
You are not granted any options, rights of first refusal, or similar rights to acquire additional franchises.
Territory Rights
You will not receive an exclusive territory. You may face competition from other franchisees, from outlets that we own, or from other channels of distribution or competitive brands that we control. However, during the term of the Franchise Agreement, provided that you are not in default of your obligations to us or our affiliates and except as to our Reserved Rights set forth below, we will not open and operate and we will not grant another franchisee the right to open and operate a Bee Organized Business within your Operating Territory.

ITEM 1 THE FRANCHISOR AND ANY PARENTS, PREDECESSORS AND AFFILIATES
Bee Organized Enterprises, LLC, the franchisor of the franchised business, is referred to in this disclosure document (the "Disclosure Document") as "we", "us" or "our" as the context requires. A franchisee is referred to in this Disclosure Document as "you" and "your" as the context requires. If you are a limited liability company, partnership or other legal entity (a "Corporate Entity"), our franchise agreement will also apply to your individual owners, shareholders, members, officers, directors, other principals, and their respective spouses.
The Franchisor
We are a Kansas limited liability company established on August 17, 2017. Our principal business address is 4350 West 107th Street, Overland Park, Kansas 66207. We conduct business under our corporate name, Bee Organized Enterprises, LLC and Bee Organized. Our business is operating Bee Organized franchise system and granting franchises to third parties like you to develop and operate a franchised business. We began offering franchises as of August 18, 2017. Other than as discussed above, we are not in any other business, we have not conducted business in any other line of business, we do not conduct or operate a franchised business of the type to be operated by a franchisee, and we have not offered or sold franchises in any other line of business. We do not have any predecessors and we do not have any parent company. Our registered agents for service of process are disclosed in Exhibit B of this Disclosure Document.
The Franchised Business

Franchise Agreement
You may enter into a franchise agreement in the form attached to this Disclosure Document as Exhibit E (the "Franchise Agreement") to develop and operate a Bee Organized Business within an operating territory in conformity with the requirements of our System. At the time of signing the Franchise Agreement we will designate a geographic area comprising your operating territory. Your right to use the System will be limited to offering and providing our Approved Services and Products within your operating territory using only our System Supplies, the Licensed Marks and the specifications and requirements set forth in our Manuals and as otherwise constituting a part of our System.

Bee Organized Enterprises, LLC RECEIPT
This Disclosure Document summarizes certain provisions of the Franchise Agreement and other information in plain language. Read this Disclosure Document and all the agreements carefully.
If Bee Organized Enterprises, LLC offers you a franchise, we must provide this Disclosure Document to you 14 calendar days before you sign a binding agreement with, or make a payment to, us or an affiliate of ours in connection with the proposed franchise sale.
New York and Rhode Island require that we give you this document at the earlier of the first personal meeting or 10 business days before the execution of the franchise or other agreements or the payment of any consideration that relates to the franchise relationship. Michigan requires that we give you this Disclosure Document at least 10 business days before the signing of any binding franchise or other agreement, or the payment of any consideration, whichever occurs first.
If Bee Organized Enterprises, LLC does not deliver this Disclosure Document on time of if it contains a false or misleading statement, or a material omission, a violation of federal law and state law may have occurred and should be reported to the Federal Trade Commission, Washington, D.C. 20580 and the applicable state administrator identified in Exhibit A of this Disclosure Document. We authorize the respective state agencies identified in Exhibit B of this Disclosure Document to receive service of process for us in the particular state.
