- (5) Except as otherwise provided in this Agreement including, but not limited to, the Reserved Rights Closed Markets, and Multi-Service Events Designated and approved by Franchisor and subject to Franchisor's System standards and requirements which Franchisor may amend, modify, and/or suspend in Franchisor's Reasonable Business Judgment, provided that, at all times, Franchisee is and remains in
compliance with the terms of this Agreement, during the Term of this Agreement, Franchisor will not and Franchisor's affiliates will not operate, or grant a franchisee the right to operate a Bee Organized Business using the Licensed Marks and System within Franchisee's Operating Territory, provided that an Operating Territory has been designated and approved by Franchisor in accordance with the terms of this Agreement; and

What This Means (2025 FDD)
According to Bee Organized's 2025 Franchise Disclosure Document, the franchisor has the right to amend, modify, and/or suspend the System standards and requirements in its reasonable business judgment. This means Bee Organized can change the rules and guidelines for operating the franchise. These standards and requirements are designated by Bee Organized for use in the development, establishment, marketing, promotion, and operation of a Bee Organized Business.
The System includes approved services and products, system supplies, procedures, and Licensed Marks. It also encompasses trade dress, copyrights, trade names, service marks, logos, the Operations Manual, Business Management System Data, know-how, confidential information, and digital media. All determinations regarding the System, including components, modifications, and replacements, are made by Bee Organized in its reasonable business judgment.
For a prospective franchisee, this means Bee Organized has significant control over how the franchise is run and can make changes that the franchisee must implement. While these changes are supposed to be made in Bee Organized's reasonable business judgment, the franchisee agrees that such decisions take precedence, even if other alternatives might seem reasonable or preferable. Franchisees must adhere to the Operations Manual, which contains mandatory and suggested specifications, standards, and operating procedures, and which Bee Organized can modify over time.
Bee Organized will provide franchisees with reasonable notice of changes to the Operations Manual, potentially through electronic communications or online platform notifications, and will allow a reasonable period to implement these changes. Franchisees are required to offer and sell only the approved services and products and utilize the System Supplies designated by Bee Organized. This gives Bee Organized considerable power to evolve the brand and operational methods, but it also places a responsibility on the franchisee to stay updated and adapt to these changes.
