What This Means (2025 FDD)
According to Bee Organized's 2025 Franchise Disclosure Document, a franchisee and their owners must be in compliance with all agreements to get approval for a transfer. Specifically, both the franchisee and their owners must not have defaulted in their obligations under the Franchise Agreement and all other agreements with Bee Organized. They also must be in compliance with their obligations under the Franchise Agreement and all other agreements with the company.
This requirement means that if a franchisee or their owners are in breach of any agreement with Bee Organized, the franchisor can deny the transfer. This could include failure to pay royalties, failure to adhere to operational standards, or any other violation of the franchise agreement or related agreements. The transferee must also agree to be bound by all the terms and provisions of the Franchise Agreement, and the transferee's owners and their spouses must personally guarantee all of the terms and provisions of the Franchise Agreement.
In addition to compliance, the franchisee must provide Bee Organized with 30 days prior written notice of the proposed transfer. The transfer must also provide for the assignment and/or ownership of the approved location for the Franchised Business, and the transferee's continued use and occupancy of such location throughout the term of the Franchise Agreement. The assets of the Franchised Business must be transferred to the transferee, and the transferee and the transferee's owners and managers, at the transferee's expense, must complete Bee Organized's training programs. Bee Organized must also waive their right of first refusal and approve of the transfer.
Bee Organized also has the right to match any offer to purchase your Bee Organized Business or the Corporate Entity operating your Bee Organized Business. These conditions are typical in franchising to ensure that the brand is protected and that any new franchisee meets the standards of the company.
