What This Means (2025 FDD)

According to Bee Organized's 2025 Franchise Disclosure Document, franchisees have specific obligations regarding the confidentiality and security of the brand's operations manuals. If a franchisee becomes aware of any unauthorized use of the manuals or the information contained within, they must immediately notify Bee Organized. This includes any unauthorized copies, recordings, reproduction, or distribution of the manuals or the information they contain.

Bee Organized requires franchisees to use all reasonable and prudent means to maintain the confidentiality of the manuals. Access to the manuals should be restricted to management-level employees who have signed a confidentiality agreement, ensuring they understand their responsibility to protect this sensitive information. The confidentiality agreement is included as an exhibit in the Franchise Agreement.

Bee Organized retains control over any action taken in response to unauthorized use. The franchisor will decide whether to take legal action or refrain from it, and they have the right to control any legal proceedings. Bee Organized is not obligated to participate in the franchisee's defense or cover any damages or expenses if a copyright or patent-related proceeding occurs.

If a third party successfully claims superior rights to the materials, Bee Organized franchisees must modify or discontinue their use of the materials as instructed by Bee Organized in writing. This underscores the importance of protecting Bee Organized's proprietary information and acting swiftly to address any potential breaches of confidentiality.
