What This Means (2025 FDD)
According to Bee Organized's 2025 Franchise Disclosure Document, 'Confidential Information' encompasses a broad range of proprietary assets, trade secrets, and data crucial to the Bee Organized business model. This definition extends both during the term of the Franchise Agreement and indefinitely after its expiration or termination.
Specifically, Confidential Information includes methods, specifications, standards, policies, procedures, information, concepts, programs, and systems relating to the development, establishment, marketing, promotion, and operation of Bee Organized Businesses. It also covers information concerning consumer preferences for services, products, materials, and supplies used or sold by Bee Organized, as well as specifications for and knowledge of suppliers of certain materials, equipment, products, supplies, and procedures used or sold by Bee Organized Businesses.
Furthermore, the definition includes client-related data such as client lists, email lists, database lists, product sales, operating results, financial performance, and other financial data of Bee Organized Businesses. It explicitly includes Business Management System Data, current and future information contained in the Operations Manual, and Know-How. This means that upon termination of the franchise agreement, a franchisee must cease using and return all materials containing this confidential information, including digital and physical copies, to protect Bee Organized's competitive advantage.
The Bee Organized franchisee also agrees to stop using the Confidential Information immediately upon the expiration, termination or Transfer of the Franchise Agreement. The franchisee must also ensure that their owners, spouses, directors, officers, employees, and agents also adhere to these confidentiality obligations, especially if they had access to the information during the franchise term. This is typically enforced through confidentiality agreements signed by these individuals.
