What This Means (2025 FDD)

According to Beauty Bungalows' 2025 Franchise Disclosure Document, Beauty Bungalows will indemnify franchisees against claims of infringement or challenges that arise from the franchisee's approved use of Beauty Bungalows' marks. Beauty Bungalows is responsible for the defense and the associated costs of these claims. This means that if a franchisee is sued for trademark infringement as a result of using Beauty Bungalows' trademarks in a way that Beauty Bungalows has approved, Beauty Bungalows will cover the legal defense and any resulting costs.

However, this protection is conditional. If a Beauty Bungalows franchisee uses the trademarks in a manner that is not approved under the Franchise Agreement or the manuals, Beauty Bungalows is not obligated to indemnify or defend the franchisee against any resulting legal actions. Therefore, it is crucial for franchisees to adhere strictly to the guidelines and instructions provided by Beauty Bungalows regarding the use of their trademarks to ensure they are protected under the indemnity agreement.

This type of arrangement is fairly standard in franchising. Franchisors typically retain control over their trademarks and provide guidelines for their proper use. Franchisees are expected to follow these guidelines to maintain brand consistency and avoid potential legal issues. The franchisor's agreement to defend and indemnify franchisees for approved trademark use provides a level of security, but it also underscores the importance of compliance with the franchisor's policies.
