4.1. Development Area.
Except as provided in this Section 4.1, while this Agreement is in effect, provided that you open and operate the Businesses in accordance with the Development Schedule and the minimum number of Businesses that you have open and operating in the Development Area at any given time is not less than the minimum required pursuant to the Development Schedule, we will not operate, or license any person other than you to operate, a Franchised Business under the Marks (as defined in your Initial Franchise Agreement) and the System (as defined in your Initial Franchise Agreement) within the Development Area. Each Franchised Business you open will be granted a protected territory as set forth in the individual Franchise Agreement for that Business. This Agreement does not give you the right open or operate in any portions of the Development Area until you have signed a new
Franchise Agreement which includes that portion of the Development Area as your protected territory.

What This Means (2025 FDD)
According to Beauty Bungalows' 2025 Franchise Disclosure Document, each franchised business is granted a protected territory as defined in the individual Franchise Agreement for that business. The Area Development Agreement does not automatically grant the right to open or operate in all parts of the Development Area. To gain those rights, a franchisee must sign a new Franchise Agreement that includes the desired portion of the Development Area as their protected territory. This implies that the protected territory is not a fixed area but is determined on a per-franchise agreement basis.
This approach allows Beauty Bungalows to manage expansion within a Development Area more strategically, ensuring that franchisees are not given overly broad territories before they are ready to develop them. It also means that a franchisee's protected territory can evolve as they sign new franchise agreements for different parts of the Development Area. This provides flexibility but also requires careful planning and execution on the part of the franchisee to secure the desired territory through subsequent agreements.
However, Beauty Bungalows retains significant rights outside of these protected territories. The franchisor can operate or license franchises and/or company-owned outlets offering similar products or services under different names or marks, even within the Development Area. They can also sell products or services through alternative distribution channels like e-commerce or retail stores, both inside and outside the Development Area. This means that while a franchisee has some territorial protection, Beauty Bungalows can still engage in activities that might compete with the franchised business through other channels or brands.
