The Confidential Information is proprietary, involves trade secrets of the Company, and is disclosed to me solely on the condition that I agree, and I do hereby agree, that I shall hold in strict confidence all Confidential Information and all other information designated by the Company as confidential.
Unless the Company otherwise agrees in writing, I will disclose and/or use the Confidential Information only in connection with my duties as [INSERT TITLE] of the Franchisee, and will continue not to disclose any such information even after I cease to be in that position and will not use any such information even after I cease to be in that position unless I can demonstrate that such information has become generally known or easily accessible other than by the breach of an obligation of Franchisee under the Franchise Agreement.
I will surrender any material containing some or all of the Confidential Information to the Company, upon request, or upon conclusion of the use for which the information or material may have been furnished.
Except as otherwise approved in writing by the Company, I shall not, while in my position with the Franchisee, for myself, or through, on behalf of, or in conjunction with any person, persons, partnership, corporation, or limited liability company, own, maintain, engage in, be employed by, or have any interest in any other business which: develops, operates, constructs, manages, provides, rents or leases studios, suites, offices or rooms to individuals, businesses or groups that provide spa services, barbering, beauty services, cosmetology services, wellness services, personal care services, massage services, nail care services, skin care services, teeth-whitening services, skin tanning services, hair loss treatments services and hair treatment services and other similar personal services. I also agree that I will not undertake any action to divert business from the Franchised Business to any Competing Business or solicit any of the former customers or employees of Franchisee for any competitive business purpose.

What This Means (2025 FDD)
According to Beauty Bungalows' 2025 Franchise Disclosure Document, franchisees and their personnel are bound by strict confidentiality agreements. A breach occurs if confidential information is disclosed or used outside the scope of operating the franchised business during the term of the agreement. This includes unauthorized use or duplication of confidential information, which is considered an unfair method of competition.
Confidential Information includes, but is not limited to, the Beauty Bungalows Operations Manual, training materials, marketing methods, trade secrets, customer lists, proprietary software information, and any techniques or know-how related to the operation of the franchised business. The franchisee only has the right to use this information to operate their Beauty Bungalows franchise.
Even after the franchisee or their personnel cease to be involved with the Beauty Bungalows franchise, they must continue to maintain the confidentiality of the information. The only exception is if the information becomes generally known or easily accessible through means other than a breach of the Franchise Agreement. Franchisees must also surrender any materials containing confidential information upon request or conclusion of its authorized use.
Furthermore, during their association with the Beauty Bungalows franchise, franchisees and their personnel are prohibited from owning, maintaining, or being involved with any Competing Business without written approval from Beauty Bungalows. This includes businesses that offer similar spa, beauty, cosmetology, wellness, or personal care services. Franchisees also agree not to divert business from the franchised location to any Competing Business or solicit Beauty Bungalows' customers or employees for a competitive business.
