What This Means (2025 FDD)

According to the 2025 Beard Papas FDD, franchisees have several obligations regarding confidential information, both during the term of the agreement and after its expiration or termination. Franchisees must not use the Confidential Information in any business other than their Beard Papa's shop. They are required to maintain the confidentiality of the Confidential Information at all times and must not make unauthorized copies of documents containing such information.

Beard Papas franchisees must also take all reasonable steps required by the franchisor to prevent unauthorized use or disclosure of the Know-How. These obligations extend not only to the franchisee but also to their Owners and Spouses, who must execute and deliver an Owner and Spouse Agreement and Guaranty. Furthermore, these obligations apply to the franchisee's directors, officers, employees, and agents if disclosure of the Know-How was necessary for the operation of the franchised business, and provided they have previously executed and delivered a Confidentiality Agreement.

In the event a franchisee becomes aware of a breach, or potential breach, of the Confidentiality Agreement, they must immediately notify Beard Papas. They are also required to inform Beard Papas of any facts or information that would lead a reasonable person to believe a violation has occurred or is in progress. Additionally, the franchisee must take reasonable steps, including consulting with their legal counsel, to prevent any person or entity from violating the terms of the Confidentiality Agreement or publicly disseminating Confidential Information. Upon termination of the Franchise Agreement, the franchisee must return the Operations Manual, Confidential Information, and all other confidential materials to Beard Papas.
