What kind of systems must a Beard Papas franchisee establish?

WHEREAS, Franchisor has developed a distinctive and proprietary system (the "System") for the establishment, development and operation of a Beard Papa's shop featuring fresh and natural cream puffs and a limited selection of other desserts and beverages and other menu items(each, a "Franchised Business" or "Shop");
WHEREAS, the System and, therefore, each Shop is identified by the Marks (defined below) and distinctive trade dress, service offerings, business formats, equipment, products, supplies, operating procedures, programs, methods, procedures, and marketing and advertising standards, all of which are part of the System and all of which Franchisor may modify from time to time;
"Franchised Business" refers to and means the Beard Papa's Shop that Franchisee is required to develop, maintain, and operate as part of the System and in accordance with the terms, conditions and obligations set forth in this Agreement and the Operations Manual.
"Operating Manager" refers to and means the Manager designated by Franchisee or Franchisee's Managing Owner, that is charged with the obligation and responsibility to supervise and manage (onsite at Franchisee's Shop Facility) the day-to-day operations of the Franchised Business.
At all times, the Operating Manager must: (a) meet all of Franchisor's minimum training and brand quality control standards and criteria for managers as may be set forth in the Operations Manual; (b) successfully complete Franchisor's initial training program; (c) sign the Confidentiality Agreement; and (d) agree, in writing, to assume responsibility for the on-site management and supervision of the Franchised Business.
"Operations Manual" refers to and means, individually and collectively, the manual(s) designated by Franchisor and relating to the development and/or operations of Beard Papa's Shops including, but not limited to, the policies, procedures and requirements for the development and operation of Beard Papa's Shops.
Subject to Franchisor's modification from time to time and, based on Franchisor's Reasonable Business Judgment, the Operations Manual may, among other things, designate the Approved Services and Products that must be exclusively offered and sold by the Franchised Business and, the System Supplies and designated vendors that must be exclusively used by Franchisee.
(3) Franchisee shall, at all times, investigate, review, and comply with all laws, rules, and regulations related to all laws, rules, and regulations related to customer and employee privacy obligations and protections and, all laws, rules, and regulations, related to the privacy and protection of customer and employee information and data and, all laws, rules, and regulations related to customer and employee solicitations.
(5) Franchisee shall, at all times, ensure that all advertising and promotion of the Franchised Business by Franchisee is completely factual and, conforms to the highest standards of ethical advertising, and is in conformity with Franchisor's standards and specifications.

According to Beard Papas's 2025 Franchise Disclosure Document, a franchisee must develop, maintain, and operate a Beard Papa's shop as part of the company's distinctive system. This system includes trade dress, service offerings, business formats, equipment, products, supplies, operating procedures, programs, methods, procedures, and marketing and advertising standards. The franchisee's shop facility must be located at a shop location approved by Beard Papas.
The franchisee must designate an Operating Manager to supervise and manage the day-to-day operations of the franchised business on-site at the shop facility. This Operating Manager must meet Beard Papas's minimum training and brand quality control standards, complete the initial training program, sign a Confidentiality Agreement, and agree in writing to assume responsibility for the on-site management and supervision of the franchised business.
The franchisee must adhere to the terms of the franchise agreement, the Operations Manual, and Beard Papas's system standards and specifications. The Operations Manual includes policies, procedures, and requirements for the development and operation of Beard Papa's shops and may designate the approved services and products that must be exclusively offered and sold by the franchised business, as well as the system supplies and designated vendors that must be exclusively used by the franchisee. The franchisee must also comply with all laws, rules, and regulations related to customer and employee privacy, and ensure that all advertising and promotion of the franchised business is factual and conforms to ethical standards and Beard Papas's standards.
