- Item 17 "Renewal, Termination, Transfer and Dispute Resolution: The Franchise Relationship," is supplemented by the addition of the following:
- A. THE CALIFORNIA FRANCHISE INVESTMENT LAW REQUIRES THAT A COPY OF ALL PROPOSED AGREEMENTS RELATING TO THE SALE OF THE FRANCHISE BE DELIVERED TOGETHER WITH THE DISCLOSURE DOCUMENT.
- B. The franchisor, any person or franchise broker in Item 2 of the FDD is not subject to any currently effective order of any national securities association or national securities exchange, as defined in the Securities Exchange Act of 1934, 15 U.S.C.A. 78a et seq., suspending or expelling such persons from membership in such association or exchange.

These amendments suggest that in California and Hawaii, a copy of the Franchise Agreement must be provided with the disclosure document.
However, the Illinois FDD Amendment notes that "Illinois law governs the Franchise Agreement," and specifies that any provision designating jurisdiction and venue outside of Illinois is void, although arbitration may occur outside of Illinois. The Michigan FDD Amendment lists several unfair provisions that, if included in the franchise documents, are void and unenforceable. These amendments focus on legal rights and restrictions within those states rather than explicitly confirming the inclusion of the Franchise Agreement itself.
Therefore, prospective Beard Papas franchisees should check the specific state addenda included in the FDD to determine whether a copy of the Franchise Agreement is required to be delivered with the disclosure document.
