In the event of a conflict of laws, the provisions of the Washington Franchise Investment Protection Act, Chapter 19.100 RCW will prevail.

RCW 19.100.180 may supersede the franchise agreement in your relationship with the franchisor including the areas of termination and renewal of your franchise. There may also be court decisions which may supersede the franchise agreement in your relationship with the franchisor including the areas of termination and renewal of your franchise.

In any arbitration or mediation involving a franchise purchased in Washington, the arbitration or mediation site will be either in the state of Washington, or in a place mutually agreed upon at the time of the arbitration or mediation, or as determined by the arbitrator or mediator at the time of arbitration or mediation. What This Means (2025 FDD)

The 2025 Beard Papas Franchise Disclosure Document includes an amendment specific to Washington State, indicating that the franchise is subject to the Washington Franchise Investment Protection Act. This act may supersede the franchise agreement, particularly in areas of termination and renewal. Additionally, any arbitration or mediation involving a franchise purchased in Washington must occur in Washington, unless otherwise agreed upon. Franchisees in Washington also have the right to bring legal action in Washington for franchise sale-related issues or violations of the Washington Franchise Investment Protection Act.

This Washington FDD Amendment suggests that Beard Papas is registered or required to be registered in Washington. The presence of specific legal stipulations and protections for franchisees within the state implies that Beard Papas franchises are actively offered and regulated there. The amendment ensures that franchisees' rights under the Washington Franchise Investment Protection Act are protected, preventing waivers of these rights except in specific, negotiated settlements with independent counsel.

Prospective Beard Papas franchisees in Washington should be aware of these state-specific protections, especially concerning termination, renewal, and dispute resolution. The amendment aims to balance the franchisor's standard agreement with the legal rights afforded to franchisees under Washington law. This ensures that franchisees have access to local legal recourse and that their rights are not inadvertently waived through standard contract terms.

While the amendment addresses specific legal aspects, it does not explicitly state whether the franchise registration is currently pending. However, the detailed nature of the amendment suggests that Beard Papas is actively operating or planning to operate in Washington, making it likely that the franchise is either registered or in the process of registering.
