The Fund is maintained and administered by us or our designee as follows:

- We direct all advertising programs and have sole discretion to approve the creative concepts, materials and media used in the programs and their placement and allocation. Marketing and promotional materials may be developed in-house by us or we may employ one or more advertising agencies to develop these materials. The Fund is intended to maximize general public recognition and acceptance of the Marks and improve the collective success of all Franchised Businesses operating under the System. We may use monies from the Fund to support our website and to conduct social media initiatives. Any Franchised Businesses operated by us will contribute to the Fund on the same basis as you. In administering the Fund, we and our designees are not required to make expenditures for you that are equivalent or proportionate to your contribution or make sure that any particular franchisee benefits directly or pro rata from the placement of advertising. We are not obligated to spend any amount on advertising in your area or territory separate from the Fund.

- The Fund may be used to satisfy the costs of maintaining, administering, directing and preparing advertising, including the cost of preparing and conducting television, radio, magazine and newspaper advertising campaigns; direct mail and outdoor billboard advertising; public relations activities; employing advertising agencies; menu and product development; development and maintenance of our website; and costs of our personnel and other departmental costs for advertising that we administer or prepare internally. All sums you pay to the Fund will be accounted for separately from our general funds. We may reimburse ourselves out of the Fund for our reasonable administrative costs and expenses that we may incur in the administration or direction of the Fund and advertising programs for you and the System. The Fund and its earnings will not otherwise benefit us except that any resulting technology and intellectual property shall be deemed our property. The Fund is operated solely as a conduit for collecting and expending the Brand Development Fees as outlined above. Any sums paid to the Fund that are not spent in the year they are collected will be carried over to the following year. No portion of the Fund will be used for advertising that is primarily a solicitation of franchise sales.

- We will prepare an annual statement of the operations of the Fund that will be made available to you by written request. We are not required to have the Fund statements audited.

- Although the Fund is intended to be perpetual, we may terminate the Fund at any time. The Fund will not be terminated until all monies in the Fund have been spent for advertising or promotional purposes or returned to contributors on a pro rata basis. If we terminate the Fund, we have the option to reinstate it at any time and it will be operated as described above.

- Money in the Fund can be used to produce commercials and ad layout templates that you must adapt for your Franchised Business and may use in local marketing, at your expense. The Fund may also develop new menus and table tents for use by all Franchised Businesses in the System, and we may designate that our approved supplier will automatically ship these items to you, at your expense, when they are to be used.

- We are not a fiduciary of the Fund.
Local Marketing: We recommend, but do not require, you conduct local marketing in your designated territory. We recommend you spend at least 2% of Gross Sales each month on local marketing for your Franchised Business. If you conduct local marketing, and if we request it, you must provide us with proof of your local marketing expenditures, including verification copies of the advertisements, within 30 days of our request.
We must approve all marketing materials before you use them. You must not advertise or use our Marks in any fashion on the internet, world wide web or via other means of advertising through telecommunication without our express written consent.
Any marketing that you propose to use that has either not been prepared by us or has not been approved by us in the immediately preceding 12-month period must be submitted to us for our review no later than 10 days before you intend to use it. Unless we provide our specific disapproval of the proposed materials, the materials are deemed approved. Any materials you submit to us for our review will become our property, and there will be no restriction on our use or distribution of these materials.
We have the right to require you to include certain language in your local marketing, such as "Franchises Available" and our website address and phone number.
Cooperative Marketing: We may designate any geographic area in which two or more Franchised Businesses are located as a region for purposes of establishing a marketing Cooperative, or we may approve of the formation of a Cooperative by our franchisees. The members of the Cooperative for any area will consist of all Franchised Businesses, whether operated by us, or our franchisees. We have the right to dissolve, merge or change the structure of the Cooperatives.

According to Bb.Q Chicken's 2025 Franchise Disclosure Document, Bb.Q Chicken directs all advertising programs and has sole discretion to approve the creative concepts, materials, and media used in those programs, including their placement and allocation. Bb.Q Chicken may develop marketing and promotional materials in-house or employ advertising agencies to do so. The advertising fund aims to maximize recognition of Bb.Q Chicken's brand and improve the success of all franchised businesses. Bb.Q Chicken may use the fund to support its website and social media initiatives. Any Bb.Q Chicken-operated franchised businesses contribute to the fund on the same basis as franchisees.
Bb.Q Chicken is not required to make expenditures for individual franchisees equivalent to their contribution or ensure that any particular franchisee benefits directly or proportionally from advertising placement. They are also not obligated to spend any amount on advertising in a franchisee's specific area or territory separate from the fund. The fund can cover costs related to various advertising efforts, including television, radio, magazine, and newspaper campaigns, direct mail, outdoor billboards, public relations, advertising agencies, menu and product development, website maintenance, and internal advertising personnel costs. Sums paid to the fund are accounted for separately from Bb.Q Chicken's general funds, and Bb.Q Chicken can reimburse itself for reasonable administrative costs. The fund operates as a conduit for collecting and expending brand development fees, and unspent funds are carried over to the following year. No portion of the fund is used for franchise sales solicitations.
For local marketing efforts, Bb.Q Chicken requires franchisees to obtain approval for all marketing materials before use. Franchisees must submit any marketing materials not prepared or approved by Bb.Q Chicken within the preceding 12 months for review at least 10 days before intended use. Materials are deemed approved unless Bb.Q Chicken provides specific disapproval. Any submitted materials become Bb.Q Chicken's property, with no restrictions on their use or distribution. Bb.Q Chicken has the right to require specific language, such as "Franchises Available" and the website address and phone number, in local marketing. Websites are considered advertising and are subject to Bb.Q Chicken's review and prior written approval. Franchisees cannot establish websites related to the Proprietary Marks or the System or use the Marks through the internet without prior written approval. Bb.Q Chicken can require that a franchisee's internet presence be limited to web pages established on Bb.Q Chicken's website, with the franchisee paying maintenance fees.
