What This Means (2025 FDD)

According to the 2025 Bb.Q Chicken Franchise Disclosure Document, the addendum required by the state of Minnesota amends both the Disclosure Document and the Franchise Agreement. Specifically, it modifies Item 13 regarding trademark protection and indemnification, and Item 17, likely pertaining to dispute resolution or legal claims.

For prospective Bb.Q Chicken franchisees, this means that if they are operating a franchise in Minnesota, they will receive additional protections under Minnesota law regarding the use of trademarks and will be indemnified against losses, costs, or expenses arising from claims related to such use. Additionally, Item 17 of the Disclosure Document and Franchise Agreement is amended, potentially impacting dispute resolution or legal claims processes for Minnesota franchisees.

However, the FDD does not explicitly state whether the Minnesota addendum affects franchisees outside of Minnesota. Addenda are typically state-specific and designed to address specific legal requirements within that state. Therefore, it is unlikely that the Minnesota addendum would directly impact franchisees in other states unless explicitly stated otherwise within the franchise agreement or other addenda.

Prospective Bb.Q Chicken franchisees should consult with a franchise attorney to understand the specific implications of state-specific addenda and how they may or may not affect their franchise agreement, particularly if they plan to operate in multiple states or have legal questions related to franchise operations.
