WHEREAS, Franchisor would not enter into the Franchise Agreement without Franchisee's agreement to enter into, comply with, and be bound by all the terms and provisions of this Agreement;
NOW, THEREFORE, for and in consideration of the foregoing and the mutual promises and covenants contained herein, and in further consideration of the Franchise Agreement and the mutual promises and covenants contained therein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:
1. Definitions
All terms used but not otherwise defined in this Agreement shall have the meanings set forth in the Franchise Agreement. "Termination" of the Franchise Agreement shall include, but shall not be limited to, the voluntary termination, involuntary termination, or natural expiration thereof.
2. Internet Advertising and Telephone Listings
- 2.1 Interest in Websites, Social Media and Software Accounts and Other Electronic Listings. Franchisee may acquire (whether in accordance with or in violation of the Franchise Agreement) during the term of Franchise Agreement, certain right, title, or interest in and to certain domain names, social media accounts, hypertext markup language, uniform resource locator addresses, access to corresponding internet websites, the right to hyperlink to certain websites and listings on various internet search engines, and the right to use certain software (collectively, "Electronic Advertising and Software") related to the Franchised Business or the Marks.
- 2.2 Interest in Telephone Numbers and Listings.

What This Means (2025 FDD)
According to the 2025 Bb.Q Chicken Franchise Disclosure Document, the franchisee obtains the right and license to operate a Bb.Q Chicken restaurant, essential version, or food truck under the Marks and the System, as detailed in the franchise agreement. This right is granted based on the franchisee's representations and warranties and is contingent upon the terms and conditions outlined in the agreement. The franchisee also has the obligation to operate the Bb.Q Chicken restaurant, essential version, or food truck under the Marks and the System. Bb.Q Chicken grants these rights in reliance on the franchisee's business skills, financial capacity, and personal character. These rights are not transferable until the franchised business is open to the public and in accordance with Article 16 of the agreement.
The franchisee is also permitted to conduct internet-based advertising, maintain social media accounts, use software, and utilize telephone listings linked to the Bb.Q Chicken brand. The franchisee may acquire rights to domain names, social media accounts, and the right to hyperlink to certain websites and listings on various internet search engines, as well as the right to use certain software related to the franchised business or the Marks. Additionally, the franchisee acquires rights to telephone numbers and directory listings related to the franchised business or the Marks.
Bb.Q Chicken retains the right to develop, use, and franchise trade names, trademarks, service marks, trade symbols, emblems, signs, slogans, insignia, or copyrights not designated as Marks for use with different franchise systems for the sale of different products or services not in connection with the System at any location. They can also develop, merchandise, sell, and license others to sell any of their products through alternative distribution channels outside or inside the Development Area and use the Marks in connection therewith. Upon termination of the franchise agreement, the franchisee must immediately cease using the System, the mark "bb.q Chicken", and all other Marks and distinctive forms associated with the System.
