Answer from 2025 FDD Document

You acknowledge that time is of the essence. Subject to your compliance with the conditions stated below, you shall open the Restaurant and commence business within six (6) months after the location for the Restaurant has been accepted by us, unless you obtain an extension of such time period from us in writing. If you have signed a Franchise Agreement for a Food Truck, you must commence business within nine (9) months after signing the Franchise Agreement. You agree to open the Franchised Business within three (3) days after our notification to you that the Franchised Business is ready to be opened. The date the Franchised Business actually opens for business to the public is herein called the "Opening Date". Prior to opening, you shall complete all exterior and interior preparations for the Franchised Business, including installation of equipment, fixtures, furnishings and signs, pursuant to the plans and specifications reasonably approved by us, and shall comply with all of your other pre-opening obligations, including, but not limited to, those obligations described in Sections 6.2 through 6.7, to our reasonable satisfaction. If you fail to reasonably comply with any of such obligations, except for delay caused by a force majeure act as described in Section 17.1.3(e), we shall have the right to prohibit you from commencing business. Your failure to open the Franchised Business and commence business in accordance with the foregoing shall be deemed an event of material default under this Agreement. Prior to opening the Franchised Business, and before any renovation to the Franchised Business, you shall certify in writing to us that the Franchised Business and any proposed renovations comply with the Americans with Disabilities Act.

What This Means (2025 FDD)

According to Bb.Q Chicken's 2025 Franchise Disclosure Document, the Opening Date is defined as the date the franchised business actually opens its doors to the public. Bb.Q Chicken emphasizes that time is of the essence in this process.

For a traditional Bb.Q Chicken restaurant, franchisees are expected to open and commence business within six months after the location is approved by Bb.Q Chicken, unless a written extension is granted. For a food truck franchise, the commencement of business must occur within nine months of signing the Franchise Agreement. Franchisees must open their Bb.Q Chicken business within three days after receiving notification that the business is ready to open.

Prior to opening, the franchisee must complete all exterior and interior preparations, including the installation of equipment, fixtures, furnishings, and signs, according to Bb.Q Chicken's approved plans and specifications. Compliance with all pre-opening obligations, as detailed in Sections 6.2 through 6.7 of the agreement, is also required. Failure to meet these obligations, unless due to a force majeure event, may result in Bb.Q Chicken prohibiting the franchisee from opening the business. Furthermore, failure to open the franchised business within the specified timeframe constitutes a material default under the Franchise Agreement. The franchisee must also certify in writing that the business complies with the Americans with Disabilities Act before opening and before any renovations are made.
