Answer from 2025 FDD Document

the work described in Section 1.1 of this Schedule D (based upon System Standards and this Agreement) if we so request and submit them for our approval before starting improvement of the Location. We will not unreasonably withhold or delay our approval, which is intended only to test compliance with System Standards, and not to detect errors or omissions in the work of your architects, engineers, contractors or the like, who must exercise their own independent professional care, skill and diligence in the design and renovation of your Facility. Our review does not cover technical, architectural or engineering factors relating to the existing structure at the Location, the validity of conversion given the existing structure, or compliance with federal, state or local laws, regulations or code requirements, for which your architect is responsible. You must allow for 10 days of our review each time you submit plans to us. We will not be liable to your lenders, contractors, employees, guests, others, or you on account of our review or approval of your plans, drawings or specifications, or our inspection of the Facility before, during or after the renovation.

What This Means (2025 FDD)

According to Baymont Inn Suites's 2025 Franchise Disclosure Document, the brand's approval of construction documents submitted by the franchisee's architect is to test compliance with the Baymont Inn Suites System Standards. Baymont Inn Suites states that it will not unreasonably withhold or delay approval. Franchisees must allow 10 days for review each time plans are submitted. Baymont Inn Suites's review does not cover technical, architectural, or engineering factors, nor does it ensure compliance with laws, regulations, or code requirements like the ADA, for which the franchisee's architect remains responsible. Baymont Inn Suites will not be liable for the review or approval of plans. Any deviation from approved plans requires prior written approval, and approved plans must incorporate design elements as set forth in the System Standards.

Baymont Inn Suites provides Prototype Plans to the franchisee's architect for creating construction documents. The architect must electronically accept a Prototype Plans Agreement to receive these plans. The construction documents created by the architect should conform as closely as possible to the Prototype Plans and System Standards.

This process ensures that the facility aligns with the brand's standards, while the franchisee retains responsibility for the technical aspects, legal compliance, and professional diligence in the design and construction of the facility. Franchisees must ensure their architects and contractors understand these distinct roles and responsibilities to avoid potential issues during the construction or renovation process.
