sing out of the Products and/or Services set forth in this Supplement (including the RevIQ Products and/or Services, Our Products and/or Services or Additional Services), including, but not limited to, your failure to comply with this Supplement (which for purposes of clarity shall be deemed to include the RevIQ System Use Restrictions). We shall not be liable to you or any other Third Party, person or entity for personal injury or property loss, including but not limited to, damage to the Facility. You are not obligated to indemnify us for our own gross negligence or intentional misconduct.
7. TERM AND TERMINATION
- 7.1 Term. This Supplement will be effective from the Supplement Effective Date, and unless earlier terminated in accordance with this Supplement, shall continue in full force and effect for a period of one (1) year ("Initial Term"). After the Initial Term, this Supplement shall automatically renew for successive one- (1-) year periods unless either Party provides not less than thirty (30) days' written notice of its desire not to renew.

What This Means (2025 FDD)
According to the 2025 Baymont Inn Suites FDD, the initial term of the supplement is one year. The supplement becomes effective on the Supplement Effective Date and remains in effect for one year, which is referred to as the "Initial Term." After the initial one-year term, the supplement automatically renews for additional one-year periods.
However, either party can prevent the automatic renewal by providing written notice of their intent not to renew. This notice must be given at least thirty days before the end of the current term. This means a franchisee needs to actively manage the agreement and communicate with Baymont Inn Suites if they do not wish to continue with the supplement after the initial or any subsequent term.
Baymont Inn Suites also allows the franchisee to terminate the supplement at any time with sixty days prior written notice. However, the franchisee is responsible for all fees associated with the RevIQ Products and/or Services for the remainder of the current term. This means that if a franchisee chooses to terminate early, they will still be obligated to pay for the services for the rest of the ongoing term, and these fees are non-refundable.
