1. GENERAL

  • 1.1 Definitions. Capitalized terms used in this Supplement shall have the meanings ascribed to them in this Supplement, the attached Attachment 1.1, the Oracle Schedule, or the Agreement, as applicable, which may be updated or supplemented by us from time to time. All other capitalized terms used but not defined herein shall have the meanings ascribed to them in the Franchise or Membership Agreement and are incorporated herein by reference.

What This Means (2025 FDD)

According to Baymont Inn Suites's 2025 Franchise Disclosure Document, the purpose of the RevIQ Supplement is to provide franchisees with a customized revenue management system. This system, known as "RevIQ," is designed in collaboration with a third-party vendor, IDeaS, and includes Baymont Inn Suites's own products and services. The RevIQ system and Baymont Inn Suites's products and services are collectively considered "Products and/or Services" under the Franchise Agreement and the Oracle Schedule.

Baymont Inn Suites offers two versions of the RevIQ system: Standard and Premium. RevIQ Standard provides features such as daily optimization for base-price decisions and hotel-level last room value for the next 365 days, intra-day optimizations, daily occupancy forecasts, user-configured pricing offsets, automated price decision uploads to Sabre CRS and Oracle Opera Cloud, user-defined special events and pricing seasons, price floors and ceilings, access via desktop and mobile devices, smart alerts, reporting capabilities, and competitive set configuration. RevIQ Premium includes all the features of RevIQ Standard, with the addition of up to three priced room classes defined by the user and optimized hotel overbooking.

Baymont Inn Suites franchisees are subject to certain restrictions when using the RevIQ system, as outlined in Attachment 3.1, called the "RevIQ System Use Restrictions." Any violation of these restrictions by the franchisee or their permitted users constitutes a material breach of the Franchise Agreement, the Oracle Schedule, and the RevIQ Supplement. The franchisee is also responsible for indemnifying Baymont Inn Suites and IDeaS for any damages or liabilities resulting from the misuse of the RevIQ Products and/or Services.

The RevIQ Supplement has an initial term of one year, with automatic renewal for successive one-year periods unless either party provides at least 30 days' written notice of non-renewal. Franchisees can terminate the supplement with 60 days' written notice, but they remain responsible for all fees for the RevIQ Products and/or Services for the remainder of the current term. All fees under the supplement are non-refundable. To use the RevIQ Products and/or Services, franchisees must meet the technical specifications outlined in Attachment 5.1 of the SynXis Property Management System Schedule to the MITA.
