Answer from 2025 FDD Document

2.1 Generally. You must acquire the Location and acquire, equip and supply the Facility in accordance with this Agreement and System Standards. You must provide us with proof that you own or lease the Facility by the Opening Date. You must maintain control of the Facility consistent with such documentation during the Term. You must begin renovation of the Facility no later than 30 days after the Effective Date. Time is of the essence for the completion of the Improvement Obligation. We may, however, in our sole discretion, grant one or more extensions of time to perform any phase of the Improvement Obligation. The grant of an extension will not waive any other default existing at the time the extension is granted. All renovations must comply with System Standards, any Approved Plans, this Agreement and the PIP. Your general contractor or you must carry the insurance required under this Agreement during renovation. The deadline for completing the Improvement Obligation shall be as specified on any PIP attached to this Agreement, but is otherwise 90 days from the Effective Date. We may, in our sole discretion, terminate this Agreement by giving written notice to you (subject to applicable law) if you do not commence or complete the improvement of the Facility by the dates specified in the PIP or otherwise and you fail to do so within five days after we send you written notice of default.

Effective Date means the date that you first take possession of the Facility, even if you sign this Agreement after the date you first take possession of the Facility.

What This Means (2025 FDD)

According to Baymont Inn Suites's 2025 Franchise Disclosure Document, a franchisee must begin renovation of the Facility no later than 30 days after the Effective Date. The Effective Date is defined as the date the franchisee first takes possession of the Facility, even if the Franchise Agreement is signed after that date.

Baymont Inn Suites emphasizes that time is of the essence for completing the Improvement Obligation. While the franchisor may grant extensions, this does not waive any other existing defaults. All renovations must comply with System Standards, the Franchise Agreement, and the Property Improvement Plan (PIP).

The deadline for completing all renovations is specified in the PIP, but if not specified there, the standard deadline is 90 days from the Effective Date. Failure to commence or complete improvements by the specified dates may result in the termination of the Franchise Agreement, provided Baymont Inn Suites gives written notice and a five-day cure period. Additionally, a reinspection fee will be charged if the franchisee fails to meet the deadlines, requiring Baymont Inn Suites representatives to return to the Facility for inspection.
