What This Means (2025 FDD)
According to Baymont Inn Suites's 2025 Franchise Disclosure Document, in addition to the indemnification obligations in the Franchise Agreement, a franchisee must also indemnify IDeaS, Baymont Inn Suites's third-party vendor, for any liability or damage incurred due to the franchisee's or their permitted users' use of the RevIQ Products and/or Services. This indemnification applies specifically if the use violates the RevIQ System Use Restrictions.
This means that as a Baymont Inn Suites franchisee, you are taking on the responsibility to protect both Baymont Inn Suites and IDeaS from any legal claims or financial losses that arise from your (or your users') improper use of the RevIQ system. The RevIQ System Use Restrictions, outlined in Attachment 3.1, define what constitutes proper and improper use. A breach of these restrictions is considered a material breach of the Franchise Agreement.
The franchisee needs to ensure that they and their permitted users are fully aware of and compliant with the RevIQ System Use Restrictions to avoid potential liabilities. This could involve training staff, implementing monitoring procedures, and regularly reviewing usage practices. The franchisee should carefully review Attachment 3.1 to fully understand the scope of these restrictions and their potential liabilities.
