What This Means (2024 FDD)
According to Baya Bar's 2024 Franchise Disclosure Document, upon termination of the Franchise Agreement, the franchisee must immediately direct all Internet Companies with which the franchisee has Electronic Advertising to transfer all of the franchisee's interest in such Electronic Advertising to Baya Bar. The franchisee must also execute documents and take actions to effectuate the transfer.
However, if Baya Bar does not want to accept any or all of the Electronic Advertising, the franchisee must immediately direct the Internet Companies to terminate such Electronic Advertising or take other actions with respect to the Electronic Advertising as Baya Bar directs. This ensures that Baya Bar maintains control over its brand and online presence, even after a franchise agreement ends.
This requirement is designed to protect Baya Bar's brand and online presence. By ensuring that all Electronic Advertising is either transferred to Baya Bar or terminated upon termination of the franchise agreement, Baya Bar can prevent former franchisees from using the brand's online presence to promote competing businesses or otherwise damage the brand's reputation. This is a fairly standard practice in franchising, as franchisors need to maintain consistent brand messaging and customer experience across all locations, even after a franchisee exits the system.
