The agreement outlines that the franchisee will perform actions and deliver documents to assist in fulfilling the agreement's purposes. All of Baya Bar's rights and powers, and all franchisee obligations, are binding on the franchisee's successors, assigns, and affiliated entities. The agreement's terms survive the termination of the Franchise Agreement and are governed by New York law.
Furthermore, the document states that a violation of the non-compete covenants would result in immediate and irreparable injury to Baya Bar, for which there would be no adequate remedy at law. Therefore, the developer consents to an injunction prohibiting any conduct violating the non-compete terms. The existence of any claims the developer may have against Baya Bar does not constitute a defense against the enforcement of these covenants.
