The Shops are established and operated under a comprehensive and unique system (the "System"). The System includes distinctive signage, interior and exterior design, décor and color scheme; special recipes and menu items, including proprietary products and ingredients; uniform standards, specifications, and procedures for operations; quality and uniformity of products and services offered; inventory, management and financial control procedures (including point of sales and tracking systems); training and assistance; and advertising and promotional programs; all of which we may change, improve, and further develop, in our discretion. Certain aspects of the System are more fully described in this Disclosure Document and the Confidential Operations Manual (the "Manual"), which you should expect to evolve over time, and that are provided to you as a franchisee.

What This Means (2024 FDD)
According to Baya Bar's 2024 Franchise Disclosure Document, the Baya Bar system incorporates distinctive signage. The FDD specifies that the Baya Bar system includes a comprehensive set of elements that define the brand and its operations. These elements range from the physical design of the store to the methods of operation and quality control.
The Baya Bar system includes distinctive signage, interior and exterior design, décor and color scheme, special recipes and menu items, uniform standards, specifications, and procedures for operations, quality and uniformity of products and services offered, inventory, management and financial control procedures, training and assistance, and advertising and promotional programs. These elements are subject to change and further development at the discretion of Baya Bar.
For a prospective franchisee, this means that the appearance of their Baya Bar location, including its signage, will be dictated by the franchisor. Franchisees must adhere to the standards set by Baya Bar to maintain uniformity across all locations. This standardization aims to create a consistent brand image and customer experience. Franchisees should expect that these design and signage elements may evolve over time as Baya Bar updates and improves its system.
