What This Means (2024 FDD)

According to Baya Bar's 2024 Franchise Disclosure Document, a developer must take necessary actions, at their own expense, to protect the Confidential Information. This includes immediately notifying Baya Bar if the developer discovers any Confidential Information has been revealed in violation of the agreement.

Confidential Information includes trade secrets like recipes, methods, customer lists, vendor partnerships, sales and technical data, financial information, costs, product prices, software, website design, products, services, equipment, technologies, procedures, the operations manual, advertising methods, and instructional materials. This information is crucial to Baya Bar's operations and competitive advantage.

The developer is prohibited from communicating, divulging, or using any Confidential Information for the benefit of others during the agreement term and from using it for their own benefit after the agreement ends. The developer cannot copy, duplicate, record, or reproduce any Confidential Information without Baya Bar's written consent. This obligation to protect Confidential Information survives the termination or transfer of the agreement and remains perpetually binding on the developer.
