What This Means (2024 FDD)

According to the 2024 Baya Bar Franchise Disclosure Document, the Assignor in the Conditional Assignment of Lease is the party that may default under the lease agreement. The landlord agrees to notify Baya Bar Franchise Systems, LLC (the Assignee) in writing if the Assignor fails to correct any default under the lease. This notification is a critical step, as it triggers the Assignee's right, but not obligation, to cure the Assignor's default within 30 days. This conditional assignment protects Baya Bar's interest in maintaining the lease and operating the franchise at the location.

If the Assignee (Baya Bar Franchise Systems, LLC) chooses to take possession of the premises, they must confirm to the landlord their assumption of the lease as the new tenant. A key condition is that the Assignee must cure any non-monetary defaults of the Assignor within the 30-day period. Once these conditions are met, the landlord agrees to recognize the Assignee as the tenant under the lease. This process ensures a smooth transition of the lease obligations from the original tenant (Assignor) to Baya Bar, provided certain conditions are met.

The agreement also allows Baya Bar (as Assignee) to further assign the lease to another party, provided that the new party agrees to assume the tenant's obligations and is reasonably acceptable to the landlord. Upon such assignment, Baya Bar would have no further liability under the lease. Additionally, Baya Bar is permitted to enter the premises to de-identify it as a Baya Bar outlet if the tenant fails to do so after the termination of the Franchise Agreement or Lease, ensuring the brand's standards are maintained even after a franchise ceases operation. Baya Bar is responsible for repairing any damage caused during this de-identification process.
