What This Means (2024 FDD)
According to Baya Bar's 2024 Franchise Disclosure Document, Baya Bar places restrictions on a franchisee's ability to transfer the franchise agreement. Specifically, a franchisee cannot assign, sell, transfer, gift, devise, or encumber any interest in the Franchise Agreement, the Franchised Business, any assets of the Franchised Business, or in the Franchisee (if the Franchisee is a business entity) without Baya Bar's consent. However, Baya Bar states that it will not unreasonably withhold its consent.
This means that if a franchisee wants to sell their Baya Bar franchise, they must first get approval from Baya Bar. While Baya Bar cannot arbitrarily deny a transfer, it does have the right to ensure that any potential new franchisee meets its standards and is capable of running the business successfully.
