Answer from 2024 FDD Document

Under the Franchise Agreement, the owners of a franchisee that is a legal entity are characterized as Franchisee's Principals (referred to in this Disclosure Document as "your Principals"). The Franchise Agreement is signed by us, by you, and by your Principals. By signing the Franchise Agreement, your Principals agree to be individually bound by the obligations in the Franchise Agreement, including covenants concerning confidentiality and non-competition.

What This Means (2024 FDD)

According to Baya Bar's 2024 Franchise Disclosure Document, if the franchisee is a legal entity, such as a corporation or partnership, the owners of the franchisee, referred to as 'Franchisee's Principals,' are required to sign the Franchise Agreement.

By signing the Franchise Agreement, the Principals agree to be individually bound by the obligations outlined in the agreement. This includes covenants concerning confidentiality and non-competition. This means that the Principals are personally responsible for upholding these specific obligations, even if the franchise is operated through a separate legal entity.

This requirement is fairly common in franchising. Franchisors often seek to ensure that individuals with a significant ownership stake in the franchise are directly accountable for key aspects of the agreement, especially those related to protecting confidential information and preventing competition during and after the franchise term. This provides Baya Bar with an additional layer of protection and recourse in case of breaches of contract.
