U.S. Copyright Office. The Marks and copyrights, along with Franchisor's trade secrets, service marks, trade dress and proprietary systems are hereafter collectively referred to as the "Intellectual Property".

  • 14.1.2 As between Franchisor and Franchisee, Franchisor and/or Franchisor's affiliate(s) are the owner of all right, title and interest in and to the Intellectual Property and the goodwill associated with and symbolized by them.
  • 14.2 No Interference. Neither Franchisee nor any Principal shall take any action that would prejudice or interfere with the validity of Franchisor's and/or Franchisor's affiliate(s) rights with respect to the Intellectual Property.

What This Means (2024 FDD)

According to Baya Bar's 2024 Franchise Disclosure Document, the franchisor, and/or the franchisor's affiliates, owns the goodwill associated with the Intellectual Property. The Intellectual Property includes the Marks, copyrights, trade secrets, service marks, trade dress, and proprietary systems. As a franchisee uses the Intellectual Property and the Baya Bar system, any goodwill that arises from that use benefits the franchisor and/or its affiliates exclusively.

This means that while a franchisee operates their Baya Bar location, the reputation and positive associations built through their efforts legally accrue to the benefit of the franchisor. The franchisee cannot claim ownership of any portion of the brand's goodwill.

Upon termination or expiration of the franchise agreement, the franchisee will not receive any monetary compensation for the goodwill that was generated during the term of their operation. This is a standard practice in franchising, as the brand and its associated goodwill are considered the franchisor's assets.
