What This Means (2024 FDD)
According to Baya Bar's 2024 Franchise Disclosure Document, a franchisee's right to operate their Baya Bar franchise is limited to a single location within a designated territory. This territory is defined in Attachment 3 of the franchise agreement. The agreement grants the franchisee the right to operate exclusively within this territory, meaning Baya Bar will not operate or authorize other franchisees to operate a Baya Bar outlet using the same marks within that territory, as long as the franchisee is not in default of the agreement.
However, Baya Bar retains the right to open, operate, or franchise Baya Bar locations bordering and adjacent to the franchisee's territory. The franchisee is also prohibited from actively seeking customers outside of their designated territory and from using alternative distribution methods unless specifically allowed in the agreement. All rights to businesses other than those specifically granted in the agreement are reserved to Baya Bar, both within and outside the franchisee's territory.
This territorial agreement ensures a level of exclusivity for the franchisee within their defined area, but it's important to note the exceptions. Baya Bar can still operate or franchise near the territory's borders, and the franchisee cannot solicit customers outside of it. A prospective franchisee should carefully review Attachment 3 and understand the exact boundaries of their territory and the implications of these limitations on their business operations and potential customer base.
