What This Means (2024 FDD)

According to Baya Bar's 2024 Franchise Disclosure Document, the franchise agreement specifies that judgment upon an arbitration award is final and not subject to appeal. This means that once an arbitrator makes a decision, that decision is binding, and neither Baya Bar nor the franchisee can appeal it to a court.

This clause aims to provide a quicker and more cost-effective resolution to disputes compared to traditional litigation. However, it also means that any errors in the arbitrator's decision, whether factual or legal, are unlikely to be corrected through an appeal process. This could pose a risk to the franchisee if they believe the arbitrator's decision was unjust or flawed.

Furthermore, the FDD states that no punitive or exemplary damages will be awarded against Baya Bar or the franchisee in an arbitration proceeding. This limitation on damages could impact the potential financial recovery for a franchisee in a dispute, as punitive damages are sometimes awarded to punish a party for particularly egregious behavior. Prospective franchisees should carefully consider these arbitration terms and their implications before entering into a franchise agreement with Baya Bar.
