What This Means (2024 FDD)

According to Baya Bar's 2024 Franchise Disclosure Document, the franchisee is solely responsible for the safety and security of the franchised business location. This responsibility extends to the franchisee, their personnel, customers, agents, and the general public. While Baya Bar may offer suggestions on safety and security matters, these are for guidance only and are not binding on the franchisee.

Importantly, the franchisee's indemnification obligations, as detailed in Section 15.6 of the franchise agreement, apply to any claims made against Baya Bar regarding safety or security at the franchisee's location. This means that the franchisee agrees to protect Baya Bar from any claims, losses, or expenses (including attorney's fees) arising from safety or security issues at the franchised business.

In practical terms, if someone is injured at a Baya Bar franchise due to a safety lapse, or if a security breach occurs, the franchisee is obligated to cover Baya Bar's costs related to any resulting claims or legal actions. This indemnification clause highlights the importance of franchisees maintaining adequate insurance coverage and implementing robust safety and security measures to protect their business and Baya Bar from potential liabilities.
