What is the Baya Bar franchisee's obligation regarding additional onsite training or assistance?

If, during the term of your Franchise Agreement, you request that we provide additional training or assistance onsite at your Shop or if we determine that additional training or assistance is necessary, you must pay our then-current per diem fee for each trainer we provide, and you must reimburse us for any expenses our trainers incur, such as costs of travel, lodging, and meals.

We may choose to hold refresher training courses, and we may designate that attendance at refresher training is mandatory for you, your General Manager and/or other Shop personnel. We do not anticipate charging a fee for refresher training, but you will pay for all of the expenses incurred by your trainees, including travel, lodging, meals and wages.

We may also choose to hold an annual meeting of our franchisees to provide additional training, introduce new products or changes to the System, or for other reasons. We may designate that attendance at an annual meeting is mandatory for you, your General Manager and/or other Shop personnel. We do not anticipate charging a fee to attend the meeting, but you will pay for all of the expenses incurred by your attendees at the meeting, including travel, lodging, meals and wages. We will designate the location of any franchisee meeting, such as a resort hotel, but we will not designate an unreasonably expensive site.

Computer and Point of Sale Systems: You must purchase or lease and use an approved computer system, including point of sale system, hardware, software and peripheral equipment (the "Computer System") that meets our specifications and that is capable of electronically interfacing with our computer

system. Our specific requirements for the Computer System are included in our Manual. The Computer System will provide you with the following functions: sales tracking, creation of business reports and sales analyses, inventory and shrinkage control and management, payroll and accounting, customer contact data, credit card processing, and scheduling.

According to Baya Bar's 2024 Franchise Disclosure Document, if a franchisee requests additional training or assistance at their shop, or if Baya Bar determines it is necessary, the franchisee must cover the costs. This includes Baya Bar's per diem fee for each trainer provided, as well as all expenses incurred by the trainers, such as travel, lodging, and meals.

Baya Bar may also offer refresher training courses, and attendance may be mandatory for the franchisee, their General Manager, or other shop personnel. While Baya Bar does not anticipate charging a fee for these refresher courses, the franchisee is responsible for covering all expenses for their trainees, including travel, lodging, meals, and wages. Similarly, Baya Bar may hold an annual meeting for franchisees to provide additional training or introduce new products, and attendance may be mandatory. Again, while there is no anticipated fee to attend the meeting, franchisees must cover all expenses for their attendees, including travel, lodging, meals, and wages. Baya Bar will designate the location of any franchisee meeting, such as a resort hotel, but will not designate an unreasonably expensive site.

For the initial opening of the Baya Bar shop, Baya Bar will provide a representative for onsite pre-opening and opening training, supervision, and assistance for seven to ten days prior to the shop opening. If the franchisee requests additional days of onsite assistance from the representative, they must reimburse the representative's expenses, including travel, lodging, and meals, as well as Baya Bar's per diem fee. However, if a franchisee is opening their second or later shop, Baya Bar has the right to reduce the duration of the representative's visit or not provide opening assistance at all.
