What This Means (2024 FDD)

According to the 2024 Baya Bar Franchise Disclosure Document, franchisees (referred to as "Developers" in this section) are obligated to protect the franchisor's confidential information. This includes trade secrets like recipes, methods, customer lists, vendor relationships, sales and technical data, financial information, costs, product prices, software, website design, and other elements related to the Baya Bar system. This obligation extends both during the term of the Franchise Agreement and after its expiration or termination.

The franchisee must take necessary steps, at their own expense, to safeguard this confidential information. This includes notifying Baya Bar immediately if any confidential information is divulged in violation of the agreement. The franchisee is prohibited from communicating, divulging, or using the confidential information for the benefit of any other person or entity, or for their own benefit after the agreement ends.

Furthermore, the franchisee cannot copy, duplicate, record, or reproduce any confidential information without Baya Bar's prior written consent. These measures are in place to protect the competitive advantage that Baya Bar's proprietary information provides and to ensure the integrity of the Baya Bar system.
