What This Means (2024 FDD)
According to Baya Bar's 2024 Franchise Disclosure Document, a franchisee is granted the right to operate their Baya Bar acai shop at a single location within a designated territory. This is outlined in the franchise agreement, which specifies that the franchisee can only use the licensed Marks in strict conformity with the Baya Bar system. The territory details are provided in an attachment to the franchise agreement.
Baya Bar restricts its franchisees from operating outside of their designated territory. Except when specified in the agreement, franchisees are prohibited from soliciting customers or using alternative distribution methods outside their territory. Baya Bar also retains the right to open, operate, or franchise other Baya Bar locations bordering the franchisee's territory.
In summary, a Baya Bar franchisee's use of the brand's intellectual property is primarily limited to their single, designated location and within the confines of their assigned territory. Any expansion or operation outside this territory is subject to the franchisor's approval and adherence to the franchise agreement's terms.
