Baya_Bar Franchise · 2024 FDDAnswer from 2024 FDD Document
You may not use the Marks as a part of your corporate or other legal name, and you must comply with our instructions in filing and maintaining trade name or fictitious name registrations. You must sign any documents we require to protect the Marks or to maintain their continued validity and enforceability. In addition, you may not directly or indirectly contest the validity of our ownership of or our rights in and to the Marks.

What This Means (2024 FDD)
According to Baya Bar's 2024 Franchise Disclosure Document, franchisees are explicitly prohibited from contesting the validity of Baya Bar's trademarks. The Franchise Agreement outlines that franchisees cannot directly or indirectly challenge Baya Bar's ownership or rights to the Marks. This restriction is a standard practice in franchising, designed to protect the brand's intellectual property and maintain uniformity across all franchise locations.
This provision means that a Baya Bar franchisee cannot initiate or participate in any legal or administrative action that questions Baya Bar's legal right to use or own its trademarks. This includes actions before the U.S. Patent and Trademark Office (USPTO) or in any court. Franchisees must also sign any documents Baya Bar requires to protect the Marks or maintain their validity and enforceability.
Baya Bar retains the exclusive right to control any litigation or proceedings related to the Marks. Franchisees are obligated to notify Baya Bar immediately of any apparent infringement or challenge to the use of the Marks. They are not allowed to communicate with anyone other than Baya Bar, their designated affiliates, or their respective counsel regarding any infringement, challenge, or claim. This ensures that Baya Bar maintains control over the defense and protection of its trademarks.
While franchisees cannot contest the validity of the Marks, Baya Bar will indemnify franchisees against damages they are held liable for due to their use of the Marks, provided they are in full compliance with the Franchise Agreement. However, Baya Bar is not contractually obligated to protect the Marks or the franchisee's right to use them, although they intend to defend the Marks vigorously as a matter of corporate policy.
